Agreement to Terms and the Parties

These Terms of Service (the "Terms") are an agreement between you and SB Coaching LLC ("SB Coaching," "Spring B," "we," "us," or "our"). In these Terms, the "Company Parties" means SB Coaching LLC together with its owners, members, managers, employees, coaches, contractors, and agents.

By accessing our website or registering for the BREATHE experience, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Description of Services

SB Coaching provides personal development and leadership experiences, including BREATHE, a complimentary in person breathwork morning offered during eXpCon 2026 and led by an independent facilitator. Our services are designed for educational and personal growth purposes and are not a substitute for professional medical, psychological, legal, or financial advice.

Eligibility

You must be at least 18 years old to register for or participate in BREATHE. By registering, you represent that you meet this age requirement.

No Guarantee of Results

BREATHE is an educational and personal development experience. We do not guarantee any specific result, outcome, or benefit from your participation. Individual results depend on many factors outside our control. Any examples, testimonials, or outcomes shared are illustrative and are not a promise or guarantee of your results.

Assumption of Risk, Disclaimer, and Limitation of Liability

BREATHE is offered for educational and personal development purposes only. It is not therapy, medical treatment, or professional counseling, and it is not a substitute for advice from a licensed medical, mental health, legal, or financial professional. You are solely responsible for evaluating whether participation is appropriate for you, and you assume all risk associated with your participation. Participation is also subject to the separate release of liability you sign at registration.

To the fullest extent permitted by law, the Company Parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or personal wellbeing, arising out of or related to your participation in BREATHE or use of our website, regardless of the theory of liability, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless the Company Parties from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your participation in the event, or content you submit or share in connection with the event.

Intellectual Property

All content on our website and in BREATHE, including text, graphics, logos, the names SB Coaching and Spring B, session materials, methodology, and audio and video, is the property of the Company Parties or their licensors and is protected by copyright, trademark, and other laws. Nothing in these Terms transfers any ownership to you.

Testimonials and User Content License

By submitting a testimonial, review, comment, or other feedback to us, whether by email, form, social media, or verbally during the event, you grant the Company Parties a perpetual, worldwide, royalty free, irrevocable license to use, reproduce, edit, and publish that content, including your first name, last initial, and likeness, in our marketing materials, website, social media, and advertising, without further compensation or notice to you. If you would prefer we not use your testimonial, or would like it removed, contact us at support@springb.com.

Photography, Recording, and Media Release

BREATHE sessions may be photographed and filmed. By attending, you consent to being photographed and recorded and to the Company Parties' use of resulting photos, video, audio, and screenshots in marketing and promotional materials across our website, email, social media, and advertising. If you prefer not to appear, please let a member of our team know when you arrive. You may request that a specific image or clip of you be removed from future marketing use by emailing support@springb.com, though we cannot recall materials already distributed.

Event Conduct

We reserve the right to remove any participant from the event whose conduct we determine, in our sole discretion, to be disruptive, abusive, or harmful to other participants or staff.

Admission

BREATHE is offered at no charge to eXpCon attendees. Space is limited and registration does not guarantee entry once capacity is reached.

Force Majeure

We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to venue or facility issues, acts of God, illness, or other emergencies.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the Last updated date above and post the new version on our website. Material changes will be effective when posted, and your continued use of our website or services after that time constitutes acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any dispute arising out of these Terms or your participation in BREATHE shall be resolved through binding arbitration in Farmington, Utah, administered under the rules of a recognized arbitration provider, except that either party may bring an individual claim in small claims court. Class action and jury trial waiver: to the fullest extent permitted by law, disputes will be resolved only on an individual basis, and you and the Company Parties each waive any right to a jury trial and to participate in a class, collective, or representative action.

General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding your use of our services.
